Governance is terrain

AI governance for decisions that have to hold up.

MCG gives boards, leadership, and investors the frameworks to make AI decisions that stay defensible — today, at the next audit, and when the company goes to market.

Governance readiness, not technical performance.

MCG evaluates the decisions, authority, and evidence behind an AI system — where technology, regulation, and strategy converge.

01AI Governance

AURA™ structures how AI systems are evaluated, approved, and overseen — mapped to ISO/IEC 42001, the EU AI Act, and the NIST AI RMF.

02M&A Advisory

Valuation, technology diligence, and post-merger integration — AI exposure surfaced before the deal is priced.

03Cross-Border Strategy

Transactions, regulators, and cultural dynamics across the US, Europe, the GCC, and MENA.

04Corporate Governance

Board-level governance design, compliance structure, and fiduciary decision-making for the AI era.

Three frameworks, one governance record.

AURA™ governs the AI. Decision Hygiene governs the people deciding. The Agentic Constitution governs the authority you delegate to a machine — and is the bridge between the board and the people building the deployment.

Built for high-consequence environments — aviation, energy, infrastructure, healthcare, and financial services, where a governance failure is not a retrospective.

Establish scope & accountability

Define governance scope, stakeholder accountability, and policy boundaries for AI initiatives. Establish the foundational principles that guide all subsequent deployment decisions.

Seven defined engagements.

Each translates the firm’s frameworks into a discrete board or executive mandate.

01

Board AI Oversight Roundtable

Directors learn what they are expected to oversee, what to ask management, what evidence to require, and what should never be delegated.

SM
Suzanne MuellerFounder & Managing Director

Suz advises CEOs, boards, and investors on governance strategy for emerging technologies and unsettled regulatory terrain.

Suz’s foundation is U.S. aviation regulatory compliance — one of the most demanding operational and governance environments in the world. That discipline informs everything she does.

She served as Executive Vice President, General Counsel, and Corporate Secretary of a U.S. airline holding company, and before that as Assistant General Counsel in a publicly traded aviation enterprise spanning three airlines, a major maintenance and repair organization, fuel infrastructure, and the only privately operated aviation foreign trade zone in the United States.

Across aviation, energy, infrastructure, and healthcare she has advised on cross-border negotiations, regulatory strategy, and high-stakes transactions in complex regulated industries.

She now designs the governance frameworks that let boards deploy AI while protecting enterprise value and fiduciary accountability.

Alice “Charm” OveronPrincipal

Charm leads the firm’s technical analysis of emerging AI systems, with depth in cybersecurity, data privacy compliance, and the architecture of modern AI deployments.

She translates the mechanics of these systems into terms boards, counsel, and investors can act on, and covers regulatory exposure across GDPR, the EU AI Act, and adjacent frameworks.

She sets the firm’s technical position on the systems it governs — the counterpart to its regulatory and fiduciary work, not a resource consulted by it.
